# 1. SaaS Master Service Agreement
These Terms of Service constitute a legally binding agreement between your organization ('Customer') and Certifada / CuspForge Ltd. By creating an account or accessing the Certifada API, Customer agrees to these terms.
# 2. Service Availability & Licensing
Certifada grants Customer a non-exclusive, non-transferable, global subscription license to access the SaaS platform, design templates, issue digital credentials with cryptographic signatures, and utilize verification pages subject to the selected subscription tier.
# 3. User Responsibilities & Issuance Authority
Customer represents and warrants that it possesses legal authority to issue credentials, diplomas, badges, or certificates to named recipients. Customer is solely responsible for verifying the accuracy of recipient identity data prior to issuing credentials.
# 4. Prohibited Uses & Fraud Prevention
Customer shall not use Certifada to issue counterfeit degrees, fraudulent certifications, impersonate accredited institutions, or violate sanctions laws. Violations result in immediate account termination and reporting to legal authorities.
# 5. Intellectual Property & Digital Signatures
Customer retains 100% ownership of its logos, brand assets, and certificate contents. Certifada retains all right, title, and interest in platform architecture, rendering engines, verification algorithms, and software code.
# 6. Limitation of Liability
To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, or consequential damages. Certifada aggregate liability is capped at the total amount paid by Customer in the 12 months preceding the claim.
# 7. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Abu Dhabi Global Market (ADGM) / United Arab Emirates. Any disputes shall be submitted to the exclusive jurisdiction of the ADGM Courts.
